THIS MASTER DEVELOPMENT AGREEMENT ("Master Agreement") is made to be effective the day of October, 2010 ("Effective Date"), by and between BNSF RAILWAY COMPANY, a Delaware corporation ("BNSF"), and the CITY OF LINCOLN, NEBRASKA, a Nebraska municipal corporation ("City"). City and BNSF, respectively, are sometimes referred to in this Master Agreement each as a "Party" and collectively, as the "Parties".
