This Agreement is made and entered into and effective this 26th day of April, 2024, among East Kentucky Power Cooperative, Inc., a Kentucky corporation with its principal office at 4775 Lexington Road, Winchester, Kentucky 40391 ("EKPC"), Shelby Energy Cooperative, Inc. (“Shelby Energy”), a Kentucky corporation with its principal office at 620 Old Finchville Road, Shelbyville, Kentucky 40065 and Gallrein Farms Shelby County, LLC., 1826 Cropper Road, Shelbyville, Kentucky 40065 ("Seller") (collectively, the “Parties”).
