EXHIBIT 10.5 AMENDED AND RESTATED EMPLOYMENT AGREEMENT This Amended and Restated Employment Agreement (this “Agreement”) is entered into and shall be effective as of September 1, 2005, by and among FGX International Inc., a Delaware corporation (the “Company”), Steven Crellin, a resident of the State of Massachusetts (the “Employee”) and, solely with respect to Section 21 of this Agreement, Magnivision, Inc., a Delaware corporation (“Magnivision”). RECITALS Magnivision and the Employee are parties to a certain Employment Agreement dated as of October 1, 2004 (the “Original Agreement”). The Company, the Employee and Magnivision desire to amend and restate the Original Agreement to modify certain of the terms and conditions set forth therein. TERMS OF AGREEMENT In consideration of the above recitals and the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follows: 1.
