This opinion is being delivered to you pursuant to the Terms Agreement dated January 16, 2019 (the “TERMS AGREEMENT”) among MEXICO, and Barclays Capital Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Morgan Stanley & Co.
