(the “Purchaser”), hereby offers to enter into this Forward Delivery Purchase Agreement (the “Agreement”) with the Santa Clara Unified School District (the “District”) for the purchase by the Purchaser of $[PAR AMOUNT] aggregate principal amount of Base Rental Payments (the “Base Rental Payments”) due to the Santa Clara Teacher Housing Foundation (the “Corporation”) pursuant to a Site Lease, dated as of April 1, 2022, by and between the District and the Corporation (the “Site Lease”). Upon acceptance of this offer by the District, this Agreement will be binding upon the District and the Purchaser. The offer made hereby is subject to acceptance by the District (by delivery to the Purchaser of an executed counterpart hereof by the District) at or before 11:59 p.m., California time, on the date hereof or at such later time and date as shall have been consented to by the Purchaser.
