This Management Retention Agreement (this “Agreement”) is dated as of June 6, 2023 (the “Effective Date”), by and between William Forbes (“Employee”) and Heron Therapeutics, Inc., a Delaware corporation (the “Company”). This Agreement is intended to provide Employee with certain benefits described herein upon the occurrence of specific events.
