This letter agreement (this “Agreement”) amends and restates the Prior Agreement in its entirety. Staples agrees to provide you with the severance benefits set forth in this Agreement if your employment is terminated under the circumstances described below:

You are employed by Staples, Inc. and/or one of its subsidiaries (“Staples”) and entered into a Severance Benefits Agreement with Staples on September 9, 1996, as amended by the Agreement to Extend Term of Severance Benefits Agreement with Staples on October 14, 2000 (the “Prior Agreements”). This letter agreement (this “Agreement”) amends and restates the Prior Agreements in their entirety. Staples agrees to provide you with the severance benefits set forth in this Agreement if your employment is terminated under the circumstances described below:
