(this “Agreement”) is made and entered into as of July 25, 2017 by and among the VIRGINIA DEPARTMENT OF TRANSPORTATION (the “Department”), an agency of the Commonwealth of Virginia (the “State”), the address of which Department is 1401 East Broad Street, Richmond, Virginia 23219; 95 EXPRESS LANES LLC, a Delaware limited liability company (the “Concessionaire”) whose address is 6440 General Green Way, Alexandria, Virginia 22312; and U.S. BANK NATIONAL ASSOCIATION, as agent for the Lenders in accordance with the terms of the Project Financing Agreements (the “Collateral Agent”), whose address is 1021 East Cary Street, Suite 1850, Richmond, Virginia 23219.
