This STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of September 14, 2014, is made by and among TZ US Parent, Inc., a Delaware corporation (the “Company”), TZ Holdings, L.P., a Delaware limited partnership (“Seller”) and Cognizant Domestic Holdings Corporation, a Delaware corporation (“Buyer”).
