These Tuono Subscription Terms (including the DPA (as defined below), this “Agreement”) create a legal agreement between Tuono, Inc. (“Licensor”) and the subscriber to the Software (as defined below) (“Customer”). This Agreement governs Customer’s use of the Software and by using or accessing the Software, Customer agrees to be bound by this Agreement. In the event that the individual accessing the Software is accessing the Software on behalf of a legal entity, such legal entity shall be the Customer under this Agreement, and, where Customer is a legal entity and is not a natural person, the natural person accessing the Software on behalf of Customer hereby represents and warrants in his or her individual capacity that he or she has the authority to bind such legal entity to this Agreement. Customer and Licensor are individually hereinafter referred to as a “Party” and collectively as the “Parties”.
