This Tax Matters Agreement (this “Agreement”) is entered into as of January 14, 2014 between ONEOK, Inc., an Oklahoma corporation (“Parent”), and ONE Gas, Inc., an Oklahoma corporation (“Spinco” and, together with Parent, the “Parties”).
