THIS SOFTWARE AS A SERVICE AGREEMENT (the “Agreement”) is made and entered into as of , (“Effective Date”) by and between Rieker, Inc., with its principal place of business at 34 Mount Pleasant Road, Aston, PA 19104 (“Rieker”) and , (“Customer”) with its principal place of business at (each a “Party” and collectively the “Parties”) and sets forth the terms and conditions under which Rieker shall license the CARS System to Customer. In consideration of the mutual promises contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which are acknowledged by the Parties, and intending to be legally bound, the Parties agree as follows.
