The undersigned (hereinafter called the “Debtor”) has requested and receives an extension of credit terms or other financial accommodations to enable the purchase of products and services from INGRAM MICRO INC., including its divisions, affiliates and operating units (hereinafter called the “Secured Party”), and for such good and valuable consideration as noted above, the receipt and sufficiency of which are hereby acknowledged, Debtor and Secured Party hereby agree as follows:

The undersigned (hereinafter called the “Debtor”) and INGRAM MICRO INC. (hereinafter called the “Secured Party”), for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, hereby agree as follows: 1. SECURITY INTEREST. The Debtor hereby grants to the Secured Party a security interest (hereinafter called the “Security Interest”) in all property of the following types, wherever located and whether now owned or hereafter owned or acquired by the Debtor, whether or not affixed to realty, in all Proceeds and Products thereof in any form, in all parts, accessories, attachments, special tools, additions, replacements, substitutions and accessions thereto or therefor, and in all increases or profits received therefrom: all Equipment, Inventory, Accounts and Chattel Paper (hereinafter collectively called the “Collateral”). 2.
