These are the terms and conditions (“Conditions”) between the customer (“Customer” or “you”) and the Licel Corporation, a California incorporation with a registered address of 445 South Figueroa Street, Suite #3100, Los Angeles, CA, USA, 90071 (“Licel”) and which govern the sale of Products (as defined below). Any accompanying Quote (as defined below) and these Conditions (collectively, the “Agreement”) comprise the entire agreement between the parties and supersede all prior or contemporaneous understanding, agreements, negotiations, representations and warranties, and communications, both written and oral. These Conditions prevail over any of the Customer’s general terms and conditions of purchase regardless of whether or when Customer has accepted the Quote. Fulfillment of Customer’s Quote does not constitute acceptance of any of Customer’s terms and conditions and does not serve to modify or amend these Conditions.
