HART, JR (hereinafter referred to as “Executive”) and PDL BIOPHARMA, INC., including any and all affiliates, parents, subsidiaries, representatives, agents, insurers, officers, directors, and employees (hereinafter “PDL” or “the Company”). W I T N E S S E T H: WHEREAS, the Parties entered into a Severance Agreement as of December 12, 2012 which, as pertinent, provided Executive with certain “Termination Benefits” in exchange for a Release in the event he resigned from the Company for “Good Reason” as defined in Article 2 of that agreement; and WHEREAS, Executive Claims that “Good Reason” exists for him to resign all of his affiliations including his employment with the Company; WHEREAS, Executive has submitted his resignation to the Company
