WHEREAS the Borrower has requested that the Lender make available to it a senior secured non-revolving delayed draw term loan facility in the principal amount of up to the Commitment for the purpose of financing the Project and the Lender has agreed to do so subject to and upon the terms and conditions set out herein;

TELESAT LEO INC., as Borrower – and – EACH OF THE ENTITIES PARTY HERETO FROM TIME TO TIME AS GUARANTORS – and – INVESTISSEMENT QUÉBEC as Lender
