Entities, all agreements or rights relating to the technology, ilized by the Mandara Entities in the Business and any licenses relating to any of the foregoing. Buyer may waive any or all of these conditions, in whole or in part, without prior notice, in its sole and absolute discretion. No Subsidiary has taken any action, adopted any plan, or made any agreement or commitment in respect of any merger, consolidation, sale of all or substantially all of its assets, reorganization, recapitalization, dissolution or liquidation.
