This AMENDED AND RESTATED TRUST AGREEMENT is made as of October 23, 2024 (as amended, restated, supplemented or otherwise modified and in effect from time to time, this “Agreement” or this “Grantor Trust Agreement”) between BRIDGECREST LENDING AUTO SECURITIZATION TRUST 2024-4, a Delaware statutory trust, as the Grantor Trust Seller (the “Grantor Trust Seller”), and WILMINGTON TRUST, NATIONAL ASSOCIATION, a national banking association, as the grantor trust trustee (not in its individual capacity but solely in its capacity as grantor trust trustee, together with its successors and assigns in such capacity, the “Grantor Trust Trustee”, and in its individual capacity, together with its successors and assigns in such capacity and any other Person that may serve as Grantor Trust Trustee, “Wilmington Trust”).
