This Purchase and Sale Agreement and Joint Escrow Instructions (this “Agreement”), between HICO Kraemer, LLC, a California limited liability company(“SELLER”) and the COUNTY OF ORANGE, a political subdivision of the State of California (“COUNTY”), is entered into as of June ___, 2015 (the “Effective Date”). This Agreement shall also constitute the joint escrow instructions of COUNTY and SELLER to FIRST AMERICAN TITLE INSURANCE COMPANY (the “Escrow Agent” and/or “Title Company”). COUNTY and SELLER are sometimes hereinafter referred to individually as a “Party” and collectively as the “Parties.”
