This Agreement of Direct Purchase and Sale (this “Purchase Agreement”), dated as of February 4, 2011 (the “Signing Date”), is by and between NewQuest Asia Fund I, L.P., a Cayman Islands exempted limited partnership (“Buyer”), and Blue Ridge Investments LLC, a Delaware limited liability company (“Seller”).
