Notwithstanding the paragraph above, in the event the Bank of England publishes guidance as to (i) how the SONIA reference rate is to be determined; or (ii) any rate that is to replace the SONIA reference rate, the Agent Bank shall, subject to receiving written Instructions from the Master Issuer and to the extent that it is reasonably practicable, follow such guidance in order to determine SONIAi for the purpose of the relevant Term Advance for so long as the SONIA reference rate is not available or has not been published by the authorised distributors. To the extent that any amendments or modifications to the Conditions or the Transaction Documents are required in order for the Agent Bank to follow such guidance in order to determine SONIAi, the Agent Bank shall have no obligation to act until such amendments or modifications have been made in accordance with the Conditions and the Transaction Documents.
