Applicability. Goods (as defined herein) sold under Seller’s invoice and these terms and conditions herein (the “Terms”) (together, the “Agreement”) are the only terms which govern transactions between Buyer and Seller. No other terms and conditions, oral or otherwise, shall have any force or effect. Notwithstanding anything herein to the contrary, if Seller’s invoice signed by both parties is in existence covering the transaction evidenced hereby, the terms and conditions of Seller’s invoice shall prevail to the extent they are inconsistent with these Terms.
