THIS ASSIGNMENT AND ASSUMPTION OF LEASE (“Assignment”) is made and entered into as of October 16, 2017 (the “Effective Date”), by and between CITIZENS OF THE WORLD CHARTER SCHOOLS – LOS ANGELES, a California nonprofit public benefit corporation (“Assignor”) and CWCMV PROPERTIES LLC, a California limited liability company (“Assignee”) (collectively referred to as the “Parties”). Assignor is the Lessee under the Lease Agreement dated as of June 12, 2015 (as amended, the “Lease”), as amended by a First Amendment to Lease Agreement dated August 1, 2015, by a Second Amendment to Lease Agreement dated September , 2016, and by a Third Amendment to Lease Agreement dated March 30, 2017, by and between Moshe Vakneen and Assignor for the premises located at 11500, 11508, 11510, 11512, 11514 and 11518 W. Pico Blvd, Los Angeles, California 90064 (the “Premises”).
