This Operating Agreement (the “Agreement”) is made and entered into effective the 29th day of October, 2007, by the undersigned members (see Schedule 1), collectively referred to in this agreement as “members,” pursuant to the Limited Liability Act of the State of Michigan, (the “Act”). The rights and obligations of the members are as provided in the Act, except as otherwise expressly provided in this agreement.
