Stifel, Nicolaus & Company, Incorporated (the “Underwriter”), acting not as a fiduciary or agent for you, but on behalf of itself, offers to enter into this Bond Purchase Agreement (the “Purchase Agreement”) with the City of Redwood City (the “City”) acting on behalf of City of Redwood City Community Facilities District No. 2010-1 (One Marina) (the “District”) which, upon acceptance, will be binding upon the City and upon the Underwriter. This offer is made subject to its acceptance by the City by execution of this Purchase Agreement and its delivery to the Underwriter on or before 5:00 p.m., California time, on the date hereof, and if not accepted will be subject to withdrawal by the Underwriter upon notice delivered to the City at any time prior to the acceptance hereof by the City.

(together with the Representative, the “Underwriters”), acting not as a fiduciary or agent for you, but on behalf of the Underwriters, offers to enter into this Bond Purchase Agreement (the “Purchase Agreement”) with the City of Roseville, California (the “City”) acting on behalf of the City of Roseville Westpark Community Facilities District No. 1 (Public Facilities) (the “District”) which, upon acceptance, will be binding upon the City and upon the Underwriters. This offer is made subject to acceptance of it by the City on the date hereof, and if not accepted will be subject to withdrawal by the Representative upon notice delivered to the City at any time prior to the acceptance hereof by the City.
