AND WHEREAS in connection with a private placement by the Corporation (the "Offering") of up to 4,651,200 "flow-through" units of the Corporation (each an "FT Unit") and 6,383,000 non "flow- through" units of the Corporation (each a "Unit") pursuant to the terms and conditions of an underwriting agreement (the "Underwriting Agreement") dated June 19, 2020 between the Corporation and Cormark Securities Inc., Sprott Capital Partners LP, Canaccord Genuity Corp., Eight Capital, CIBC World Markets Inc., National Bank Financial Inc., Red Cloud Securities Inc., and Stifel Nicolaus Canada Inc. (collectively, the "Underwriters"), the Corporation proposes to issue and sell up to 5,517,100 Warrants (as defined herein), including up to 1,063,835 Warrants issuable upon due exercise of the Underwriters' Option (as defined herein) and up to 744,681 Warrants issuable to certain purchasers identified by the Corporation to the Underwriters.
