This TAX MATTERS AGREEMENT (this “Agreement”), is made and entered into as of November 3, 2015, by and between EXTERRAN HOLDINGS, INC. (to be renamed Archrock, Inc.), a Delaware corporation (“RemainCo”), and EXTERRAN CORPORATION, a Delaware corporation (“SpinCo”).
