This PATENT LICENSE AND SETTLEMENT AGREEMENT (this “Agreement”) is made and entered into as of March 23, 2007 (the “Effective Date”) by and between Polaris IP, LLC, a limited liability corporation organized and existing under the laws of Texas and having offices at 207 C North Washington Avenue Marshall, Texas 75670 (“Polaris”), and Kana Software, Inc., a corporation organized and existing under the laws of Delaware and having offices at 181 Constitution Drive, Menlo Park, CA 94025 (“Kana”).
