Note: NIN Ventures, LLC (the “Manager”), in its sole discretion, may accept the Investor as a member of either Fund based upon the information provided by the Investor to the Manager as part of the subscription process. The Manager, in its sole discretion, may or may not form either (or any) Fund. Under applicable law, NIN Ventures Technology QP Fund LLC (if formed) only shall consist of “qualified purchasers” and/or “knowledgeable employees.” The Funds will (i) have the same economic terms and conditions (including with respect to management fees and carried interest), (ii) invest alongside each other pro rata based on their respective capital commitments and (iii) invest in and dispose of investments at the same time and on the same economic terms and conditions.
