This Merchant Agreement (“Agreement”) governs the use of the Aloha Cloud, NCR Silver® Pro Restaurant, and NCR Silver Essentials, each as a service suite of applications (“Service”), the related hardware (“Hardware”) and the user application software and updates (“Software”) that NCR Corporation or one of its designated affiliates (“NCR”) provides you in connection with the Service (together, “Products”) you purchase from NCR or from an authorized NCR reseller (“Reseller”). Payment processing services are not covered by this Merchant Agreement. The additional terms incorporated by reference, attached hereto as Exhibits and the back office account administration portal NCR provides to you as part of the Service (“Account Portal”), are incorporated into this Agreement. If you purchase Products through a Reseller, then the pricing, invoicing and credit terms between you and the Reseller will apply to your financial obligations to the Reseller for the Products.
