WHEREAS, Treasury and NeighborWorks entered into that certain Memorandum of Agreement, dated as of February 14, 2013 (as hereby amended, and as may be further amended, restated, supplemented or otherwise modified from time to time, the “Agreement”), in connection with the Making Home Affordable Program (MHA), a foreclosure prevention program established by Treasury pursuant to its authority under the Emergency Economic Stabilization Act of 2008, Pub. L. 110-343, as amended from time to time “EESA”); and
