THIS LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) is made and adopted as of December 15, 2021, as the limited liability company agreement of DIZRAPTOR FUND 1001, LLC, a Delaware limited liability company (the “Company”), by and among the Manager and each other Person who after the date hereof becomes a Member of the Company and becomes a party to this Agreement. Certain capitalized terms used throughout this Agreement are defined in Appendix A, which is incorporated herein by reference.
