The undersigned (the “Noteholder”) hereby tenders this Subscription Agreement (the “Subscription Agreement”) and hereby subscribes to participate in the Blue Ocean Credit Opportunity – Fund II for the issuance of a Series A Promissory Note (the “Note”) of Blue Ocean Properties, LLC, a Maryland limited liability company (the “Company”) in the principal amount set forth on the signature page hereto (the “Loan”), in accordance with the terms set forth in this Subscription Agreement and the form Note attached hereto as Exhibit C.
