This Maintenance Agreement (“Agreement”) is entered into by Vericept Corporation (“Vericept”) and the purchasing entity listed in the Purchase Order (“Customer”). Effective on Entrust’s acceptance of a purchase order (“Effective Date”), Vericept and Customer agree that the following terms and conditions shall apply to the purchase of software maintenance services from Vericept through Entrust, a Vericept-authorized distributor (“Distributor”) under this Maintenance Agreement. The Distributor is acting as Vericept’s broker for this Maintenance Agreement, and is authorized to charge Customer for the support fees directly as set out in the Distributor’s quote.
