This Agreement and Plan of Merger is entered into as of November 1, 2013, by and between College Media Advisers, Inc., an Indiana nonprofit public benefit corporation (the “Merging Corporation”), and College Media Association, Inc., a Tennessee nonprofit public benefit corporation ( the “Surviving Corporation”), which two corporations are sometimes called in this Agreement and Plan of Merger the "Parties".
