This Settlement Agreement (“Agreement”) is made and entered into this 12th day of June, 2017 (“Execution Date”) by and between Espar, Inc., Espar Products, Inc., and Eberspaecher Climate Control Systems International Beteiligungs-GmbH (together, “ESPAR”) and Indirect Purchaser Plaintiff Class Representatives, both individually and on behalf of a class of indirect purchasers of Parking Heaters (the “Settlement Class”), as more particularly defined in Paragraph 13 below.
