AMENDED AND RESTATED TRUST AGREEMENT, dated as of October 23, 2024 (as amended, supplemented or otherwise modified and in effect from time to time, this “Agreement”), among NISSAN AUTO RECEIVABLES COMPANY II LLC, a Delaware limited liability company, as depositor (the “Depositor”), WILMINGTON TRUST, NATIONAL ASSOCIATION, a national banking association with trust powers, not in its individual capacity but solely as owner trustee (in such capacity, the “Owner Trustee”), and U.S. BANK TRUST COMPANY, NATIONAL ASSOCIATION, a national banking association, as certificate registrar and paying agent (in such capacity, as applicable, the “Certificate Registrar” or the “Paying Agent”), amending and restating in its entirety the Trust Agreement, dated as of August 9, 2024 (the “Original Trust Agreement”), between the Depositor and the Owner Trustee, and herein referred to as the “Trust Agreement” or this “Agreement.”
