(the “Company”) concerning the terms of your transition and separation from employment and offers you certain benefits in exchange for a general release of claims and covenant not to sue upon termination of your employment and upon the termination of the Consultancy (as defined below), as provided in further detail below. If you agree to abide by the terms outlined in this letter, please sign and return this letter to me no later than February 1, 2013.
