(Nasdaq:IDEX) (the “Company”) and you as Chief Financial Officer and Principal Accounting Officer (“CFO” or “Executive”). The Board of Directors of the Company (the “Board”) has approved the Company entering into this Agreement. If you accept the offer contained in this Agreement, it will supersede and replace any prior employment agreement or employment letter between you and the Company and will be subject to the terms and conditions set forth below.
