(“Agreement”) is made and entered into this 1st day of October 2024, by and among Hecate Energy Cider Solar, LLC, a limited liability company organized and existing under the laws of the State of Delaware (“Developer”), Rochester Gas and Electric Corporation, a corporation organized and existing under the laws of New York (“Affected System Operator”), and the New York Independent System Operator, Inc., a not-for-profit corporation organized and existing under the laws of the State of New York (“NYISO”). Developer, the NYISO, or Affected System Operator each may be referred to as a “Party” or collectively referred to as the “Parties.”
