Parties: CenterPoint Properties Trust (the “Company”) will, at the effective time (referred to herein either as the “Effective Time” or the “Effective Date”) of the transactions (the “Merger”) contemplated by the Agreement and Plan of Merger dated December 7, 2005 by and among CalEast Industrial Investors, LLC (“Moon”), Solstice Merger Trust and the Company (the “Merger Agreement”), be wholly owned by Solstice Holdings LLC (“Moon Sub”), a subsidiary of Moon. Moon Sub will, immediately prior to the Effective Date of the Merger, be the sole shareholder of Solstice Merger Trust.
