This gift agreement (this “Agreement”) is made effective on May 6,2017, (the “Effective Date”) between Utah State University (the “University”), an instrumentality of the state of Utah, and the Charles Koch Foundation, a Kansas nonprofit corporation (the “Donor”), This Agreement is for the benefit of Utah State University and the Jon M, Huntsman School of Business (the “USB”); specifically, the Huntsman Scholar Program, which is a student program that will be expanded at the HSB; and the University’s and the HSB’s affiliation with the Center for Growth and Opportunity (the “Center”), a Utah nonprofit corporation. The University and the Donor are sometimes referred to in tins Agreement individually as a “Party” and collectively as the “Parties.” The Parties agree as follows;
