We refer to the Rule 144A Deposit Agreement, dated June 29, 2007 and as amended and supplemented prior to the date hereof (as so amended and supplemented prior to the date hereof, the “Rule 144A Deposit Agreement”), between UNITED BANK LIMITED (“Company”) and CITIBANK, N.A., as Depositary. Capitalized terms used but not defined herein shall have the meanings given them in the Rule 144A Deposit Agreement. The terms of this Certification and Agreement shall be governed by the laws of the State of New York.
