WHEREAS, in recognition of their common goal to restore and maintain the financial soundness of First Pryority Bank, Pryor, Oklahoma (the “Bank”), a state chartered bank that is a member of the Federal Reserve System, the Bank, Federal Reserve Bank of Kansas City (the “Reserve Bank”), and the Oklahoma State Banking Department (the “Department”) have mutually agreed to enter into this Written Agreement (the “Agreement”); and
