THIS HEALTH SERVICES AGREEMENT (this “Agreement”) is made and entered into to be effective as of , 2013 (the “Effective Date”) by and between City of Overland Park, Kansas (“Client”), with principal offices at 8500 Santa Fe Road, Overland Park, KS 66212, and Marathon Health, Inc. (“Marathon”), a Delaware Corporation with principal offices at Champlain Mill, 20 Winooski Falls Way, Suite 400, Winooski, VT 05404. Client and Marathon may each be referred to in this Agreement as a “Party” and, collectively, as the “Parties.”
