This ASSET PURCHASE AGREEMENT (the “Purchase Agreement”), dated August 18, 2004, by and among Casual Male Retail Group, Inc., a Delaware corporation (“Buyer”) and Rochester Big and Tall Clothing, Inc., a California corporation (“Seller”).
