THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”) is made and entered into as of the 29th day of August, 2023 (the “Signing Date”), by and between MUTUAL OF WAUSAU INSURANCE CORPORATION, a Wisconsin mutual insurance corporation with its place of business at 3910 W Stewart Avenue, Wausau, WI 54402 (“MWIC”), and FALL CREEK MUTUAL INSURANCE COMPANY, a Wisconsin town mutual insurance corporation with its place of business at 140 S. State Street, Fall Creek, WI 54742 (“FCMIC”, together with MWIC is collectively referred to herein as the “Constituent Corporations” and each a “Constituent Corporation”).
