THIS CLIENT SERVICES AGREEMENT (including the General Terms and all Exhibits and Statements of Work, the “Agreement”) is made and entered into as of the earlier of the date on which Services commenced, or the effective date of the applicable Statement of Work (the “Effective Date”) by and between Netrix, LLC, an Illinois Limited Liability Company, having a principal place of business at 2801 Lakeside Drive, Suite 125, Bannockburn, IL 60015 ("Netrix") and the Client listed on the applicable Statement of Work (“Client”). Netrix and Client are sometimes collectively referred to as “Parties” and each individually as a “Party”. In consideration of the rights and obligations set forth below, the receipt and sufficiency of which is acknowledged, the Parties agree to the following:
