THIS OPTION AND ESCROW AGREEMENT ("AGREEMENT") is made and entered into effective on the 10th day of July, 2003 by and among (i) O2Diesel Corporation (formerly, Dynamic Ventures Inc.), a Washington corporation ("O2DIESEL"), (ii) Distinct Holdings Ltd. (the "STOCKHOLDER") and (iii) Comerica Bank, a Michigan banking corporation (the "ESCROW AGENT").
