THIS BACKSTOP COMMITMENT AGREEMENT (including any Exhibits and Schedules hereto, this “Agreement”), dated as of January 12, 2022 is made by and among LATAM Airlines Group S.A., a company organized under the laws of Chile (the “Company” or “LATAM Parent”) and each of its direct and indirect debtor subsidiaries that have filed chapter 11 cases (the “Chapter 11 Cases”) under Title 11 of the United States Code, 11 U.S.C. §§ 101-1532 (as it may be amended from time to time, the “Bankruptcy Code”) in the Bankruptcy Court (as defined below) (together with the Company, each a “Debtor” and, collectively, the “Debtors”), on the one hand, and the Backstop Parties set forth on Schedule 1 hereto, as may be amended, supplemented or otherwise modified from time to time in accordance with this Agreement (each referred to herein, individually, as a “Backstop Party” and, collectively, as the “Backstop Parties”), on the other hand.
